MardPlay Terms of Service
1. Introduction
Welcome to MardPlay, the music marketplace for Africa, owned and operated by C Media Group. These Terms of Service ("Terms") govern your access to and use of the MardPlay platform, including but not limited to our website, mobile applications, and any related services (collectively, the "Platform").
By accessing or using the Platform, you agree to be bound by these Terms. If you do not agree to these Terms, please do not use the Platform.
2. Eligibility
You must be at least 18 years old to use the Platform. By using the Platform, you represent and warrant that you are of legal age to form a binding contract and meet all of the foregoing eligibility requirements.
3. Account Registration
To use certain features of the Platform, you may be required to create an account. You are responsible for maintaining the confidentiality of your account information, including your password, and for restricting access to your computer. You agree to accept responsibility for all activities that occur under your account.
4. Use of the Platform
You agree to use the Platform only for lawful purposes and in accordance with these Terms. You may not use the Platform:
- To upload, download, transmit, or distribute any content that is unlawful, harmful, threatening, abusive, harassing, defamatory, vulgar, obscene, libelous, invasive of another's privacy, hateful, or racially, ethnically, or otherwise objectionable.
- To upload, download, transmit, or distribute any content that infringes any intellectual property rights, including copyrights, trademarks, patents, or trade secrets.
- To upload, download, transmit, or distribute any viruses, malware, or other harmful code.
- To interfere with or disrupt the operation of the Platform.
- To use the Platform for any commercial purpose without our prior written consent.
5. Intellectual Property
The Platform and all of its content, including but not limited to text, images, logos, and software, are protected by intellectual property laws. You may not use any of this content without our prior written consent.
6. User Content
You may be able to upload, download, transmit, or distribute content on the Platform, such as music, merchandise, and event tickets ("User Content"). You are solely responsible for the content of your User Content. You grant C Media Group a non-exclusive, worldwide, royalty-free license to use, reproduce, modify, adapt, publish, translate, create derivative works from, distribute, and display your User Content in connection with the Platform.
7. Copyright Infringement
We respect the intellectual property rights of others. If you believe that your copyrighted work has been copied in a way that constitutes copyright infringement, please notify us.
8. Disclaimer of Warranties
THE PLATFORM IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTY OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO THE IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE PLATFORM WILL BE UNINTERRUPTED OR ERROR-FREE.
9. Limitation of Liability
IN NO EVENT SHALL C MEDIA GROUP BE LIABLE FOR ANY DAMAGES WHATSOEVER, INCLUDING BUT NOT LIMITED TO DIRECT, INDIRECT, INCIDENTAL, CONSEQUENTIAL, SPECIAL, EXEMPLARY, OR PUNITIVE DAMAGES, ARISING OUT OF OR IN ANY WAY CONNECTED WITH THE USE OF THE PLATFORM.
10. Indemnification
You agree to indemnify and hold harmless C Media Group and its affiliates, officers, directors, employees, and agents from and against any claims, actions, or demands, including without limitation reasonable legal and defense costs, arising out of or relating to your use of the Platform, your violation of these Terms, or your User Content.
11. Governing Law
These Terms shall be governed by and construed in accordance with the laws of Cameroon.
12. Dispute Resolution
Any dispute arising out of or relating to these Terms shall be resolved through Cameroonian Dispute Resolution Mechanism, e.g., arbitration, or mediation.
13. Termination
We may terminate or suspend your access to the Platform at any time, with or without cause, and with or without notice.
14. Severability
If any provision of these Terms is held to be invalid or unenforceable, such provision shall be struck and the remaining provisions shall be enforced.
15. Entire Agreement
These Terms constitute the entire agreement between you and C Media Group with respect to the Platform and supersede all prior or contemporaneous communications, representations, and understandings, whether oral or written.
16. Waiver
No waiver of any provision of these Terms shall be effective unless in writing and signed by the party against whom the waiver is sought.
17. Independent Contractors
You and C Media Group are independent contractors and not partners, joint venturers, employees, or agents of one another.
18. Force Majeure
C Media Group shall not be liable for any delay or failure to perform its obligations under these Terms due to causes beyond its reasonable control, including but not limited to acts of God, war, terrorism, riots, embargoes, acts of civil or military authorities, fire, floods, accidents, strikes, or shortages of transportation, fuel, power, or raw materials.
19. Changes to these Terms
We may update these Terms from time to time. We will notify you of any material changes by posting the updated Terms on the Platform. You are advised to review these Terms periodically for any changes.
